Terms of Service

These Terms govern access to upordown.pl, UpDown Terminal, the Chrome trading panel, historical research tools, setup materials, and related services (together, the “Service”) operated by Up or Down, ul. Bolesława Limanowskiego 11/55, 02-943 Warszawa, Poland (“we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. Eligibility and your responsibility

You must be legally able to enter this agreement and use trading-related software in your location. You are solely responsible for confirming that your use of the Service, Polymarket, any VPS or proxy, and any transaction complies with applicable law, sanctions, geographic restrictions, and third-party terms. We do not grant permission to access any third-party service where access is prohibited.

2. What the Service provides

The Service provides research, historical replay, paper-trading, market indicators, and execution-interface software. The Chrome extension may submit instructions directly from your browser to the Polymarket CLOB. We do not hold your Polymarket private key, place discretionary trades for you, broker transactions, or guarantee order execution.

3. Account security

You must protect your login credentials, browser profile, wallet keys, VPS credentials, and devices. Never send a trading private key to our support team. You are responsible for activity performed through your account unless caused directly by our breach of an obligation that cannot legally be excluded.

4. Free and paid access

Free access may include limited historical paper trading, basic indicators, and a live market overview. Terminal Pro includes the features shown at checkout. We may improve, replace, or discontinue features where reasonably necessary, while avoiding a material reduction of a paid term without an appropriate remedy.

5. Price, payment, and renewal

Terminal Pro costs USD 199 for 30 days. Annual access costs USD 1,990 and includes twelve months for the price of ten. Cryptocurrency payments are accepted only through the networks, assets, official token contracts, addresses, and amounts shown at checkout. Network fees are your responsibility. Access begins after the payment reaches required on-chain finality.

Subscriptions paid in cryptocurrency do not renew automatically. Early renewal is added to the current paid access period. Underpayments remain pending until the required total is received. Overpayments do not create an automatic entitlement to a refund.

6. Refund requests

Blockchain transactions are irreversible and payments are generally final. We may consider exceptional refund requests individually, taking account of the circumstances, consumed access, transaction costs, and legal obligations. Nothing in these Terms limits mandatory consumer rights that apply to you.

7. VPS connectivity assistance

Eligible Terminal Pro customers may receive scripts, instructions, and reasonable setup help for privately operated VPS connectivity. You remain the operator of your infrastructure and are responsible for its security, cost, lawful use, and compliance with platform rules. We may refuse or stop assistance where we reasonably believe the intended use is unlawful, sanctioned, deceptive, or prohibited.

8. Acceptable use

You must not misuse the Service, interfere with its operation, probe or bypass access controls, share paid access outside your account, use it to harm others, or use it in violation of law or third-party rights. We may suspend access where necessary to protect users, infrastructure, or legal compliance.

9. Intellectual property

The Service, software, interface, research presentation, and branding belong to us or our licensors. You receive a personal, limited, non-exclusive, non-transferable right to use the Service during your permitted access period.

10. Trading and third-party risk

Polymarket, blockchain networks, RPC providers, wallets, browsers, VPS providers, and market data sources are independent third parties. Their downtime, restrictions, errors, forks, congestion, or policy changes may affect the Service.

11. Availability and liability

The Service is provided on an “as available” basis. To the maximum extent permitted by law, we exclude implied warranties and are not liable for trading losses, lost opportunities, incorrect user inputs, compromised user keys, third-party failures, or indirect losses. Any liability that cannot be excluded remains limited only to the extent permitted by applicable law.

12. Changes and termination

We may update these Terms for legal, security, or operational reasons. Material changes will be communicated reasonably. You may stop using the Service at any time. Paid access ends when its term expires unless renewed.
